1. Contract parties and scope
1.1 On behalf of Dansk Internet Forum (DIFO), Punktum dk administers second-level domain names under the .dk domain (hereinafter “Domain Name”) by appointment of the Danish Business Authority and on behalf of the Danish state.
1.2 Registrar is a legal person that sells the right of use to Domain Names and may manage Domain Names on behalf of Registrants pursuant to the Registrar Contract.
1.3 The Agreement lays down terms for the Registrar's opportunity to achieve a differentiation in price per. Domain name that is settled with Punktum dk, to perform DNSSEC signing of a Domain Name, respectively.
1.4 The Agreement shall be regarded as a supplementary agreement to the Registrar Contract in force at any time between the parties. To obtain rights in accordance with the Agreement, it is thus a prerequisite that a Registrar Contract has been entered into between Punktum dk and the Registrar.
2. Incentive calculation and payment for DNSSEC signatures
2.1 Registrar is entitled to payment to, in agreement with a registrant for the registrant's Domain Name to be signed with DNSSEC (Domain Name System Security Extensions), if Registrar handles the Domain Name as part of Registrar Management or, if the Domain Name is not under Registrar Management, the Registrar performs the name server service for the domain name on its own name servers.
2.2 On the last day of each month, Punktum dk carries out a point measurement of how many DNSSEC signatures are covered by clause 2.1. At each point of measurement, the Registrar earns the right to a single payment from Punktum dk of 1/12 of DKK 2 excl. VAT pr. Domain name.
2.3 The monthly point measurements are aggregated by Punktum dk twice a year for the first Incentive Period of the year and the second Incentive Period, respectively. The result of this is included in the calculation of the respective Incentive Period.
2.4 Punktum dk pays the earned amount to the Registrar for the first Incentive Period in August and for the second Incentive Period in February of the following year.
2.5 Punktum dk pays the Registrar for DNSSEC signing by depositing the amount due in the Registrar's prepaid account at Punktum dk.
2.6 Punktum dk is at all times entitled to unilaterally change the criteria for payments pursuant to clauses 2.1 - 2.5 with a notice of 3 months to the expiration of one month. Failure by the Registrar of such changed criteria is equated with a termination of the Agreement, cf. clause 4.1.
3. Entry into force
3.1 The Agreement enters into force inter partes upon the parties' accession to the agreement.
4. Duration and termination
4.1 Punktum dk may terminate the Agreement with 3 months' notice to the expiration of one month. The Registrar may terminate the Agreement with immediate effect from the time when Punktum dk’s receives the termination notice.
4.2 Upon termination of the Agreement, the Registrar and Punktum dk's rights and obligations under the Agreement cease at the time of termination. Any payments due to the Registrar shall be paid in accordance with clause 2.5.
5. Transfer of the Agreement
5.1 Registrar may not without the consent of Punktum dk transfer the Agreement and its rights and obligations pursuant to the Agreement to a third party.
5.2 In the event that Punktum dk’s function as administrator of Domain Names ceases, Punktum dk is obliged and entitled to transfer the Agreement to a new administrator without prior consent from Registrar.
6. Termination of the Agreement
6.1 If the Registrar breaches the Agreement, Punktum dk is entitled to terminate the Agreement with immediate effect. As a breach is considered, for example:
- Registrar goes bankrupt.
- The Registrar handles Domain Names and DNSSEC signatures in such a way as to circumvent the overall purpose of the Agreement.
- The Registrar's engaging in fraudulent conduct.
6.2 If the Agreement is terminated with reference to the Registrar's breach, and if this breach has resulted in the Registrar having unjustifiably received payments in accordance with section 2 of the Agreement, Punktum dk is entitled to demand such payments back with interest in accordance with Danish legislation.
7. Applicable law and venue
7.1 This Agreement is subject to Danish law.
7.2 Any disagreement or dispute between the parties regarding the interpretation and scope of the Agreement will be settled in Copenhagen District Court with the possibility of appeal to Eastern High Court in Denmark.
8. Signing of the Contract
8.1 The Agreement is signed electronically.
9. Languages
9.1 This Agreement exists in Danish and English. In the event of inconsistencies between the two versions, the Danish version is valid.
